Terms of Use

1. Acceptance of these terms

These Terms of Use (“Terms”) govern your access to and use of the Megaficus advertising dashboard (the “Service”), operated by Megaficus Joint Stock Company (“Megaficus”, “we”, “us”, or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

2. License to use the Service

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the dashboard solely to view analytics for the Amazon store or stores you have been specifically authorized to access. You may not use the Service for any other purpose, and you may not permit anyone else to use your credentials or access.

3. Intellectual property and confidentiality

The Service — including the dashboard software, its layout and design, and the metrics methodology, models, calculations, and analytical logic behind the figures it displays — is the confidential and proprietary property of Megaficus Joint Stock Company. Your access does not transfer any ownership to you.

You agree that you will not, directly or indirectly, disclose, publish, distribute, copy, screenshot for external distribution, scrape, extract, decompile, or reverse-engineer any part of the Service, its methodology, or its underlying models, except as strictly necessary for your own authorized business use. These confidentiality obligations survive termination of your access and remain in effect indefinitely.

4. Data accuracy — important disclaimer

The figures shown in the Service — including but not limited to profit-and-loss figures, ACoS, ROAS, and any projections or forecasts — are estimates provided for informational purposes only. They are derived from third-party data and internal modeling and may contain errors, omissions, or delays.

THE SERVICE AND ALL DATA IT PROVIDES ARE FURNISHED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. Nothing in the Service constitutes financial, tax, accounting, or legal advice, and you should not rely on it as such. You are responsible for independently verifying any figure before relying on it.

5. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MEGAFICUS JOINT STOCK COMPANY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT OF FEES YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

6. Indemnification

You agree to indemnify, defend, and hold harmless Megaficus Joint Stock Company and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your misuse of the Service or your breach of these Terms.

7. Suspension and termination

We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have breached these Terms or if we need to do so to protect the Service or other users. Upon termination, your right to use the Service ends immediately, while the confidentiality, disclaimer, liability, and indemnification provisions survive.

8. Governing law and disputes

These Terms are governed by the laws of the State of Delaware and the United States of America, without regard to its conflict-of-laws rules. Before initiating any formal dispute, the parties agree to first attempt to resolve the matter in good faith through informal discussions. Any dispute not resolved informally shall be resolved through binding arbitration or in the courts of competent jurisdiction, as determined by the applicable law.
